Welcome to Unitsoft Inc. These Terms and Conditions of Sale ("Terms") govern the sale of software as a service (SaaS) and other services ("Services") provided by Unitsoft Inc., a company incorporated under the laws of Canada, to our clients ("Client" or "You"). By engaging with our Services or purchasing our SaaS solutions, you agree to be bound by these Terms.

1. Invoicing and Payment

1.1 Services Based on Timesheet

  • Invoicing: For Services rendered based on timesheets, Unitsoft Inc. will issue invoices and provide timesheets on a bi-weekly or monthly basis, as per the agreement with the Client.
  • Prepaid Services: For Services that are prepaid, Unitsoft Inc. will issue invoices upon receipt of payment. Timesheets will be provided on a bi-weekly or monthly basis, reflecting the Services rendered during the period.

1.2 Payment Terms

  • Standard Payment Period: Our invoices are payable within five (5) working days from the invoice date, unless an alternative timeframe is specified on the invoice or the order confirmation.
  • Late Payment: In the event of non-payment by the due date, a late payment interest of 10% of the unpaid amount will be charged. Furthermore, Unitsoft Inc. reserves the right to suspend the provision of any Services without prior notice until payment is received.
  • Debt Recovery: If a payment remains outstanding for more than sixty (60) days past the due date, Unitsoft Inc. may engage a debt recovery agency to recover the funds. The Client will be responsible for all associated legal costs.

2. Client Obligations

  • Waiver of Client's Standard Terms: The Client expressly waives any of its own standard terms and conditions, irrespective of whether they were established before or after these Terms. Any deviation from these Terms must be explicitly agreed upon in writing in advance.
  • Withholding Taxes: Clients are responsible for any withholding taxes imposed by their jurisdiction, as per local legislation. The full invoice amount is due to Unitsoft Inc. without deductions for such taxes or related costs.

3. Service Provision

  • Performance Obligation: Unitsoft Inc. commits to providing high-quality Services within the agreed-upon timelines. However, our obligation is one of means and not of result. Unitsoft Inc. shall not be compelled to intervene in disputes between the Client and third parties, including end consumers.
  • Claims: To be considered, any claim regarding the provision of Services or delivery of goods must be communicated to Unitsoft Inc. by recorded delivery to our registered office within eight (8) days following the provision or delivery date.

4. Legal and Regulatory Compliance

  • Governing Law: All contractual relationships between Unitsoft Inc. and the Client shall be governed by the laws of Canada.
  • Indemnification: The Client agrees to indemnify Unitsoft Inc. against any legal costs arising from non-compliance with local legislation regarding withholding taxes or other regulatory obligations.

5. Amendments

Unitsoft Inc. reserves the right to update or modify these Terms at any time. Such changes will be effective immediately upon posting the revised Terms on our website. It is the Client's responsibility to review these Terms periodically for updates.
